Enterprise Merchandise Program — Terms and Conditions

Company: GO4THEWIN Inc. d/b/a 4Winners Merch, 3825 W. Cheyenne Ave., Suite 605, North Las Vegas, NV 89032

1. Program Overview

The Enterprise Merchandise Program (“the Program”) is a one-time website and merchandise-store engagement, followed by an optional ongoing support retainer. The Program includes:

• Discovery Call
• Strategy & Planning
• Website & Product Development
• Design Approval
• Launch of your custom webstore
• Ongoing Merchandise Support (see Section 3)

2. Fees — One-Time Engagement

The Program engagement fee starts at $2,500, based on the scope defined in your signed proposal. Fees are invoiced per your signed proposal, with no fixed deposit/milestone breakdown — the amount and invoicing schedule are set out in each client’s individual proposal.

3. Ongoing Merchandise Support Retainer

• Fee: $599 per year, billed annually.
• Billing: Charged automatically each year on the anniversary of the client’s store launch date.
• Cancellation: Client must provide 30 days’ written notice before the annual renewal date to cancel the retainer and avoid the next year’s charge. Cancelling does not affect the completed one-time build.
• Refunds: The annual retainer fee is non-refundable once billed — no partial-year refunds for early cancellation.

4. Scope of Ongoing Merchandise Support

The $599/year retainer includes:

• Store maintenance — keeping the client’s webstore running smoothly (theme/app updates, technical upkeep, uptime monitoring).
• New product updates — adding new merchandise items and variants to the client’s store catalog as their product line evolves.

Additional design work, marketing services, or scope beyond store maintenance and product updates is billed separately per a new proposal.

5. Delivery, Title & Risk of Loss

Custom merchandise and deliverables are produced to order. Title and risk of loss transfer to the client upon delivery or shipment, whichever occurs first, consistent with standard 4Winners Merch practice.

6. Intellectual Property

Final approved designs, logos, and website content become the client’s property upon full payment of the one-time engagement fee. 4Winners Merch retains the right to display completed work in its own portfolio and marketing materials unless the client requests otherwise in writing.

7. Limitation of Liability

4Winners Merch’s total liability under this Program is limited to the fees actually paid by the client in the twelve (12) months preceding the claim. 4Winners Merch is not liable for indirect, incidental, consequential, or lost-profit damages.

8. Confidentiality

Both parties agree to keep confidential any non-public business, technical, or financial information disclosed during the engagement, for the duration of the engagement and two (2) years thereafter.

9. Force Majeure

Neither party is liable for delay or failure to perform due to causes beyond its reasonable control, including but not limited to natural disaster, supplier shortage, labor dispute, or governmental action.

10. Dispute Resolution

This Program is governed by the laws of the State of Nevada. Any dispute arising under this Program must first be submitted to binding arbitration in Clark County, Nevada, before a mutually agreed arbitrator, prior to either party initiating litigation. To the extent arbitration does not apply or is unavailable, disputes will be resolved exclusively in the state or federal courts located in Clark County, Nevada. Both parties waive the right to a jury trial.

11. General Provisions

This document constitutes the entire agreement between the client and 4Winners Merch regarding the Enterprise Merchandise Program, superseding any prior discussions on this subject. Amendments must be in writing and signed by both parties.
